These Terms and Conditions govern the commercial fragrance and odor control services provided by Arizona Air-Scent, Inc. (“Arizona Air-Scent,” “we,” “us,” or “our”) to business clients (“you,” “your,” or “Client”). By approving a Scope of Service, accepting delivery of equipment or fragrance refills, or otherwise using our services, you agree to these terms.

Arizona Air-Scent, Inc. is a manufacturer and full-service provider of custom fragrance and odor control systems. Our fragrances are manufactured in our production facility in Scottsdale, Arizona.

1. Business-to-business services only

Our services are offered solely to businesses and commercial properties. This website does not sell products. Product pages are provided as a catalogue to help you identify suitable equipment; no purchase, checkout or consumer sale takes place through this site. All services are arranged directly with our team.

2. No contract required; Scope of Service

We do not require a long-term contract. Before service begins, we ask you to approve a Scope of Service for each property, which identifies the areas to be scented, the equipment to be furnished, the fragrances selected and the applicable pricing. Your approval of a Scope of Service authorizes us to begin the Autoship program for that property and constitutes your acceptance of these Terms for that property.

3. The Autoship program

Scent units are furnished to you free of charge for the duration of your participation in the Autoship program.
Fragrance refills are shipped every twenty-eight (28) days, thirteen (13) times per year. Your initial shipment includes everything needed to begin service.
Pricing quoted in your Scope of Service includes both the unit and the fragrance for that unit.
“D” size alkaline batteries are provided with the initial shipment where applicable. Expert XL units require battery replacement approximately every four (4) months.
There are no pauses in the Autoship program. Refills ship on the 28-day cycle, and your staff must install each refill promptly on receipt for the system to perform as intended.
Changes to your selected fragrances are handled at no additional charge.
We pay shipping costs for refills and equipment while your service is active.

4. Ownership and return of equipment

All equipment and refills remain the property of Arizona Air-Scent, Inc. at all times. Units are furnished for your use while you participate in the Autoship program or receive in-person service; they are not sold, and no ownership interest transfers to you.

Equipment must be returned to us upon cancellation of service, or upon any change in management or ownership of the property. If equipment is not returned in working condition, a replacement fee will apply. Opened fragrance refills need not be returned and may be retained or disposed of by you.

5. Installation, placement and your responsibilities

We provide written installation instructions, including a QR code linking to short instructional videos on our website. Our team will help you identify optimal unit locations, and can arrange a video call with your staff to answer placement questions. Correct placement materially affects both fragrance performance and equipment life.

You are responsible for:

Mounting units securely using the fasteners and wall anchors provided, or arranging for them to be mounted;
Replacing refills promptly every 28 days as they arrive;
Performing the short maintenance routine described in our instructions at each refill changeout;
Replacing batteries as needed, including Expert XL batteries approximately every four months;
Keeping units in their agreed locations and notifying us before relocating them.

6. Repairs, replacement and support

We will repair or replace damaged or inoperable dispensers at no additional charge, provided that the short maintenance routine has been performed at each refill changeout. This commitment does not cover loss, theft, misuse, unauthorized modification, or damage caused by failure to maintain the units as instructed.

Technical support is included with your service. Bluetooth-enabled units are programmed by us initially; your staff may then adjust fragrance intensity and timing using our mobile application.

7. Fragrances and formulations

All fragrances are manufactured in-house in Scottsdale, Arizona. Our fragrances are VOC compliant or VOC-exempt and solvent-free, and our metered mist fragrances are non-flammable. All refills contain Metazene®, a patented odor-counteracting additive. PowerShot® refills use an exclusive VOC-exempt, biodegradable metered mist fragrance.

Our fragrance formulations are proprietary and confidential, and ingredient lists are not published. Safety Data Sheets (SDS) and ingredient information are available to clients on request by emailing customerservice@azairscent.com.

8. Cancellation

Either party may cancel service by providing thirty (30) days’ written notice. This applies equally to Autoship service and in-person service. On cancellation, all equipment must be returned as described in Section 4.

9. Performance expectations

Fragrance performance varies with the size, layout, ventilation, temperature, humidity and traffic of each space. No fragrance or system is a universal solution, and we do not warrant that any particular fragrance or unit will achieve a specific result in every environment. We encourage you to work with an Arizona Air-Scent Certified Field Service Professional to identify the right configuration for your space, and to contact us if performance is not meeting your expectations so we can adjust it.

10. Disclaimer of warranties

Except as expressly stated in these Terms, our services and equipment are provided “as is,” and we disclaim all other warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.

11. Limitation of liability

To the fullest extent permitted by law, Arizona Air-Scent, Inc. shall not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or business interruption, arising out of or relating to our services or equipment. Our total aggregate liability arising out of or relating to the services shall not exceed the amounts paid by you to Arizona Air-Scent, Inc. for the services during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Arizona Air-Scent, Inc. and its officers, employees and agents from claims, damages and expenses arising from your failure to install, maintain or operate the equipment in accordance with our instructions, from unauthorized modification or relocation of equipment, or from your breach of these Terms.

13. Intellectual property

Arizona Air-Scent™, PowerShot®, Metazene® and our fragrance formulations, product designs, instructional materials and website content are protected by trademark, copyright and trade secret rights. Nothing in these Terms grants you any right to reproduce, reverse engineer or analyze our fragrance formulations, or to use our marks without our prior written consent.

14. Privacy

Information collected through this website is handled in accordance with our Privacy Policy.

15. Changes to these Terms

We may update these Terms from time to time. The revised version takes effect when posted on this page, and the “last updated” date above will change. Material changes affecting active service will be communicated to you directly.

16. Governing law

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or our services shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and each party consents to the jurisdiction of those courts.
